By downloading, accessing, or using the TradeNotes mobile application ("App"), website, or any related services (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you must not use our Service. These Terms constitute a legally binding agreement between you and TradeNotes Pty Ltd ACN [YOUR ACN] ("TradeNotes", "we", "us", or "our"), operating under the laws of Queensland, Australia.

2. Service Description

TradeNotes is a productivity application designed for tradespeople and contractors to:

• Capture and organize job site notes and photos

• Manage client information

• Create quotes and invoices

• Utilize AI-powered tools for business operations

3. Account Registration and Access

3.1 Explorer Mode

You may explore certain features of the App without creating an account ("Explorer Mode"). Explorer Mode provides limited access to view app functionalities but does not include data saving or full feature access.

3.2 Trial Period

New users are eligible for a 7-day free trial upon registration. The trial provides full access to all app features. No credit card is required to start the trial.

3.3 Account Creation

To access full Service features, you must:

• Provide accurate, current, and complete information

• Maintain and update your information as needed

• Keep your password secure and confidential

• Accept responsibility for all activities under your account

• Notify us immediately of any unauthorized access

4. Subscription and Payment

4.1 Subscription Plans

After the trial period, continued use requires an active paid subscription. Current plans and pricing are available within the App and on our website.

4.2 Payment Terms

• All payments are processed through Stripe

• Subscriptions automatically renew unless cancelled

• Prices are in Australian Dollars (AUD) unless otherwise specified

• Prices include GST where applicable

4.3 No Refunds Policy

All purchases are final and non-refundable. This includes:

• Subscription fees

• Partial month/period charges

• Unused subscription time after cancellation

• Accidental purchases

We do not provide refunds under any circumstances, including but not limited to:

• Change of mind

• Non-use of the Service

• Dissatisfaction with features

• Technical issues on your device

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until the period expires.

5. User Content and Conduct

5.1 Your Content

You retain ownership of all content you create, upload, or store using TradeNotes ("User Content"). By using the Service, you grant us a limited license to:

• Store and backup your content

• Display content within the App for your use

• Process content to provide Service features

5.2 Prohibited Content

You are solely responsible for your User Content. You must NOT upload, share, or store:

• Child sexual abuse material or any content sexualizing minors

• Pornographic or sexually explicit material

• Content depicting bestiality

• Content promoting or depicting violence, terrorism, or self-harm

• Illegal content of any kind

• Content that infringes intellectual property rights

• Malicious code, viruses, or harmful software

• False, misleading, or fraudulent information

• Content that harasses, threatens, or discriminates against others

• Any content that violates Australian law

5.3 Content Monitoring and Enforcement

While we do not actively monitor User Content, we reserve the right to:

• Remove or refuse any content that violates these Terms

• Suspend or terminate accounts for violations

• Report illegal content and activities to Australian law enforcement

• Cooperate with legal authorities and comply with valid legal requests

We will report any suspected illegal activity, particularly involving minors, fraud, or violence, to appropriate Australian authorities immediately.

5.4 Your Responsibility

You acknowledge that:

• You are solely responsible for your User Content

• We are not liable for any User Content

• You will indemnify us for any claims arising from your User Content

• Content you delete may persist in backups for a reasonable period

6. Privacy and Data Protection

6.1 Privacy Policy

Your use of our Service is also governed by our Privacy Policy, available at https://tradenotes.app/privacy-policy/privacy-policy

6.2 Data Usage

• We do not sell your personal data to third parties

• We use analytics (PostHog) solely to improve the Service

• Analytics data is anonymized and used for:

  • Understanding feature usage

  • Identifying and fixing bugs

  • Improving app performance

6.3 Data Deletion

To request complete deletion of your data from our servers, email support@tradenotes.app. We will process deletion requests within 30 days, subject to any legal retention requirements.

7. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purpose

• Violate any Australian federal, state, or local laws

• Attempt to gain unauthorized access to any systems

• Interfere with or disrupt the Service

• Use automated systems or software to extract data

• Impersonate any person or entity

• Use the Service to send spam or unsolicited communications

• Engage in any activity that could damage our reputation

8. Intellectual Property

8.1 Our Property

TradeNotes and its original content, features, and functionality are owned by TradeNotes Pty Ltd and are protected by Australian and international copyright, trademark, and other intellectual property laws.

8.2 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation to you.

9. Third-Party Services

The Service may contain links to or integrate with third-party services including:

• Supabase (database and authentication)

• Stripe (payment processing)

• OpenAI (AI features)

• PostHog (analytics)

We are not responsible for the content, privacy policies, or practices of third-party services.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy or reliability of content

10.2 No Professional Advice

TradeNotes does not provide legal, financial, tax, or professional trade advice. All generated quotes, invoices, and documents are templates only. You should consult appropriate professionals for specific advice.

10.3 Limitation of Liability

To the maximum extent permitted by law, TradeNotes Pty Ltd shall not be liable for:

• Any indirect, incidental, special, or consequential damages

• Loss of profits, data, or business opportunities

• Any damages exceeding the amount you paid us in the past 12 months

10.4 Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

11. Indemnification

You agree to defend, indemnify, and hold harmless TradeNotes Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service

• Your User Content

• Your violation of these Terms

• Your violation of any rights of another party

• Your violation of any applicable laws

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription

• Requesting account deletion at support@tradenotes.app

12.2 Termination by Us

We may suspend or terminate your account immediately for:

• Violation of these Terms

• Illegal activities

• Non-payment of fees

• Activity that harms other users or our Service

• As required by law

12.3 Effect of Termination

Upon termination:

• Your access to the Service ceases immediately

• No refunds will be provided

• We may delete your data after 30 days

• Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Queensland, Australia, without regard to conflict of law provisions.

13.2 Jurisdiction

You consent to the exclusive jurisdiction of the courts of Queensland, Australia for any disputes arising from these Terms or your use of the Service.

13.3 Dispute Process

Before initiating legal proceedings, you agree to attempt resolution through:

1. Direct negotiation with us via support@tradenotes.app

2. If unresolved after 30 days, mediation under the Australian Commercial Disputes Centre rules

14. General Provisions

14.1 Entire Agreement

These Terms constitute the entire agreement between you and TradeNotes regarding the Service.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any successor or acquirer.

14.5 Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control.

We reserve the right to modify these Terms at any time. Material changes will be notified via:

15. Specific Provisions for Australian Users

15.1 GST

All prices include GST where applicable under Australian tax law.

15.2 Electronic Transactions

You consent to receiving electronic communications and conducting transactions electronically.

15.3 Competition and Consumer Act 2010

Your statutory rights under the Competition and Consumer Act 2010 and other applicable consumer protection laws remain unaffected where they cannot be lawfully excluded.
